Ms. Flynn is Exponent's Vice President and General Counsel.  Joining the firm in April 2022, she leads Exponent's legal and compliance function.  Ms. Flynn brings decades of practical global legal experience working with engineers, scientists and technology companies.  Through her career she has provided key legal leadership for growth and business transformation, risk mitigation and protection of company assets.  

Prior to joining Exponent, Ms. Flynn spent a combined 12 years in-house at multinational conglomerate, Koninklijke Philips, and at its spinoff LED and automotive lighting innovation and manufacturing subsidiary, Lumileds.  Throughout she held numerous legal positions ranging from legal counsel to general counsel, with particular focus in areas of litigation, commercial, corporate development, employment and compliance.  While at Lumileds, Ms. Flynn led legal disentanglement and divestment of the subsidiary in its take private sale to private equity and secured key legal victories in trade secret misappropriation, ITC and patent cases in the US and abroad.  

Ms. Flynn has also spent nearly a decade in private practice as a corporate and securities attorney at large law firms where her practice focused on representing private equity, venture capital and start-up clients on a broad range of matters including fund formation, VC financings, M&A transactions, securities, corporate governance and technology transfer transactions.  

Ms. Flynn holds a B.A. in Political Science and International Relations from Mary Baldwin College, an M.A. in International Studies from University of Melbourne (Australia), and a J.D. from Boston College Law School.
